TERMS OF SERVICE

These Terms of Service (the "Terms") govern your access to and use of supplies.gusta.ca and related online services (the "Site"), and purchases made from Gusta Supplies Inc. ("Gusta Supplies," "we," "us," or "our").

By using the Site, creating a customer account, or placing an order, you agree to these Terms and the policies referred to in them.

If you do not agree to these Terms, please do not use the Site or place an order.

Nothing in these Terms limits any consumer right, warranty, condition, remedy, or other protection that cannot lawfully be excluded, restricted, or waived under applicable law.

2. Eligibility and Customer Accounts

By placing an order, you represent that you have the legal capacity to enter into the purchase transaction or are acting with any authorization required by applicable law.

We may offer customer accounts to make ordering and account management easier.

You are responsible for keeping your account information accurate and for maintaining the confidentiality of your login credentials.

Please notify us promptly if you believe your account has been accessed or used without authorization.

Our physical location is open for customers to browse. Because we operate using a wholesale business model, account registration is required for in-person purchase.

Online checkout is governed by the account and checkout options displayed on the Site.

3. Products, Descriptions, and Availability

We make reasonable efforts to describe and display our products accurately.

Product appearance, packaging, specifications, availability, or other details may change, and images may not reproduce colour or scale exactly on every device.

If we discover a material error in product information, we may correct it and, where the error affects an order already placed, contact you with the available options.

Products are subject to availability.

We may reasonably limit quantities or decline or cancel an order where necessary because of:

  • inventory limitations;

  • payment or fraud concerns;

  • legal restrictions;

  • an obvious pricing or listing error; or

  • another legitimate operational reason.

If we cancel an order after payment has been captured, we will process an appropriate refund.

4. Orders and Order Acceptance

Submitting an order is an offer to purchase the products in the order at the prices and on the terms shown at checkout.

An automated order confirmation acknowledges that we received the order. It does not prevent us from correcting an obvious error or cancelling an order for a legitimate reason described in these Terms.

You are responsible for providing complete and accurate billing, shipping, contact, and account information.

Please review your order carefully before submitting it and contact us promptly if you notice an error.

5. Prices, Taxes, and Payment

Unless stated otherwise, prices on the Site are shown in Canadian dollars.

Applicable taxes, shipping charges, discounts, and the final amount payable are shown or calculated during checkout, as applicable.

Prices and promotions may change before an order is placed.

If an obvious pricing, promotion, or calculation error affects an order, we may correct the error and contact you before fulfillment.

If the corrected terms are not acceptable, the affected order may be cancelled and any captured payment for that order will be refunded.

Payments are processed using Shopify and available payment providers. Your use of a particular payment method may also be subject to the applicable payment provider's terms.

6. Shipping, Local Pickup, and Pre-Orders

Shipping, local pickup, shipping benefits, and pre-order fulfillment are governed by our Shipping & Delivery Policy, which forms part of these Terms.

Online checkout is currently intended for delivery within Canada.

International orders may be considered on a case-by-case basis by contacting us.

For selected pre-order products, an estimated arrival time may not be available when the order is placed.

7. Returns, Refunds, and Exchanges

Returns, refunds, final-sale items, return shipping, and exchanges are governed by our Returns & Refunds Policy, which forms part of these Terms.

Return eligibility depends on the merchandise, its condition, the applicable time limits, and any rights that apply under law.

8. Discounts and Promotions

Discounts and promotions may be subject to additional:

  • eligibility requirements;

  • product exclusions;

  • dates;

  • usage limits; or

  • other conditions stated with the offer.

Unless an offer expressly permits combination with another discount, the promotional terms shown for the applicable offer will govern whether discounts may be combined.

Student Discount

Student Discount codes:

  • are issued to approved applicants;

  • are intended for the approved recipient;

  • are single-use;

  • cannot be combined with other discount codes; and

  • may exclude certain products.

Returns of discounted merchandise remain subject to our Returns & Refunds Policy.

Any refund is based on the amount actually paid.

9. Acceptable Use of the Site

You may use the Site only for lawful purposes.

You must not use the Site to:

  • violate applicable law;

  • infringe another person's rights;

  • introduce malicious code;

  • interfere with the security or operation of the Site;

  • attempt unauthorized access to accounts or systems;

  • submit fraudulent information; or

  • use automated means in a manner that materially disrupts the Site or our services.

10. Intellectual Property

The Site and its original content, branding, graphics, photographs, text, layout, and other materials are owned by or licensed to Gusta Supplies and are protected by applicable intellectual-property laws.

You may view and use the Site for your personal or internal business purchasing purposes.

You may not reproduce, distribute, modify, republish, or commercially exploit our protected content without permission, except as permitted by law.

Third-party product names, trademarks, images, and other materials remain the property of their respective owners.

11. Reviews, Feedback, and Other Submissions

If you submit a review, image, feedback, suggestion, or other content to us, you represent that:

  • you have the right to submit it;

  • it does not unlawfully infringe another person's rights; and

  • it does not contain unlawful, deceptive, abusive, or malicious material.

You grant Gusta Supplies a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt for formatting, publish, display, and distribute content you voluntarily submit for review, customer-service, operational, or promotional purposes connected with our business, subject to our Privacy Policy and applicable law.

This licence does not transfer ownership of your content to us.

We may moderate, decline to publish, or remove submitted content where reasonably appropriate, including where content:

  • is unlawful;

  • is irrelevant or misleading;

  • is abusive;

  • infringes third-party rights; or

  • exposes personal information that should not be public.

12. Third-Party Services and Links

The Site may rely on or link to services provided by third parties, including Shopify, payment providers, shipping carriers, form providers, review providers, analytics services, and other technology providers.

Third-party services may be governed by their own terms and privacy practices.

We are not responsible for a third party's independent acts or omissions except to the extent responsibility cannot lawfully be excluded.

13. Privacy

Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy.

By using the Site, you acknowledge that personal information will be handled in accordance with that policy and applicable law.

14. Site Availability and Errors

We make reasonable efforts to keep the Site available and accurate, but we do not promise that the Site will always be uninterrupted or error-free.

We may maintain, update, suspend, or modify parts of the Site from time to time.

We may also correct typographical, pricing, product, availability, promotion, or other errors when identified, subject to applicable law and any rights attached to an order already formed.

15. Warranties and Limitation of Liability

Nothing in these Terms excludes or limits any statutory warranty, condition, consumer protection, or liability that cannot lawfully be excluded or limited.

To the fullest extent permitted by applicable law, we do not make additional warranties regarding uninterrupted access to the Site or the absence of technical errors beyond warranties expressly provided by us or imposed by law.

Any applicable manufacturer warranty is subject to the manufacturer's terms in addition to any rights you may have against us under applicable law.

To the fullest extent permitted by applicable law, Gusta Supplies will not be liable for indirect, incidental, special, or consequential losses arising solely from:

  • an interruption or misuse of the Site;

  • a third-party service outside our reasonable control; or

  • a delay caused by circumstances outside our reasonable control,

where such losses were not reasonably foreseeable when the relevant transaction was entered into.

This section does not limit liability for fraud, wilful misconduct, gross negligence, personal injury, or any other liability that cannot lawfully be limited.

16. Suspension or Termination

We may suspend or restrict access to the Site or an account where reasonably necessary to:

  • protect security;

  • prevent fraud or unlawful activity;

  • address a material breach of these Terms; or

  • comply with law.

Suspension or termination does not affect rights and obligations relating to completed transactions that are intended to survive.

17. Governing Law

These Terms and transactions with Gusta Supplies are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without giving effect to conflict-of-laws principles, subject to any mandatory consumer-protection or other rights that apply to you and cannot lawfully be waived.

Where legally permitted, disputes may be brought before the courts of Ontario.

18. Severability and Waiver

If a provision of these Terms is found unenforceable, that provision will be interpreted or limited to the minimum extent necessary and the remaining provisions will continue in effect, to the extent permitted by law.

A delay or failure by either party to enforce a right does not, by itself, waive that right.

19. Entire Agreement

These Terms, together with the policies and any additional terms expressly presented and accepted in connection with a particular order or promotion, constitute the agreement between you and Gusta Supplies concerning the Site and the applicable transaction.

If specific terms presented for an order or promotion conflict with a general provision of these Terms, the specific terms govern that order or promotion to the extent of the conflict, subject to applicable law.

20. Changes to These Terms

We may update these Terms from time to time.

The current version will be posted on this page with its last-updated date.

Changes apply prospectively to use of the Site and transactions occurring after the updated Terms take effect, except where a different application is required or permitted by law.

Material changes will be communicated where legally required.
